Diebold Nixdorf Inc. filed a Form 8-K current report with the Securities and Exchange Commission on Monday, April 15, disclosing that the compensation committee of the Diebold Nixdorf board of directors was suspending the company's quarterly bonus program for named executive officers.
According to the filing, Diebold Nixdorf established the program in 2018 to help "retain and focus key leaders during a very challenging period."
The committee subsequently exercised its discretion to suspend the program when it concluded that it had accomplished the goal of stabilizing the company and retaining executives who were critical to the rollout of the DN Now initiative.
According to the filing:
"The committee feels that, with this stability, the shareholder-approved annual incentive plan and long-term performance-based awards will provide appropriate incentives to the named executive officers to drive the Company’s strategic initiatives and critical business goals."
Diebold Nixdorf said it did not expect discretionary bonuses to be a continuing component of its compensation structure.
