Brink’s to acquire NCR Atleos

The Brink's Company has announced an agreement to acquire NCR Atleos in a transaction valued at $6.6 billion, including debt.

The acquisition aims to create a leading financial technology infrastructure company, significantly expanding Brink's global presence and service offerings, according to a press release.

Under the terms of the agreement, NCR Atleos shareholders will receive $18 per share in cash and 0.467 shares of Brink's common stock for each Atleos share. This represents a 25% premium over Atleos' closing share price on Feb. 23.

Brink's anticipates the acquisition will lead to substantial synergies, expecting a mid-teens percentage increase in adjusted earnings per share in the first full year post-closing, and a low 20% increase after two years. The combined entity is projected to have a pro forma revenue of $8.9 billion and an adjusted EBITDA of $1.7 billion for the fiscal year 2025.

The merger is expected to close by the end of 2026. The acquisition will enhance Brink's capabilities in ATM services, cash management, and digital payment solutions, serving a broader customer base globally.
